จะไม่รับผิดชอบหรือรับผิดชอบในกรณีที่มีการยักยอกการใช้ผิดวิธีหรือการโจรกรรมรหัสใด ๆ GFI จะไม่มีหน้าที่ตรวจสอบว่าข้อมูลใด ๆ ที่ส่งไปยังระบบโดยบุคคลใดก็ตามที่ใช้รหัสที่ถูกต้องของลูกค้าได้รับอนุญาตจากลูกค้าและลูกค้าจะผูกพันตามข้อเสนอและข้อเสนออื่น ๆ และคำสั่งและคำสั่งอื่น ๆ รวมถึงธุรกรรมที่เป็นผลลัพธ์ Option FX Option ดังกล่าวได้ (ในกรณีที่มีการใช้ Option FX Option ดังกล่าว) ผ่านบริการการออกกำลังกายตามกฎการใช้งานหรือคำแนะนำที่เขียนโดย GFI คู่สัญญายอมรับว่าความรับผิดของ GFI ข้อกำหนดและเงื่อนไขที่ระบุไว้ในข้อตกลงการอนุญาตให้ใช้สิทธิของผู้ใช้ต่อไปนี้จะใช้บังคับกับบุคคลหรือกิจการที่เข้าถึงหรือใช้ระบบที่ดำเนินการโดย GFI Swaps Exchange LLC ในปุ่มยอมรับด้านล่างนี้คุณ (ผู้ใช้) อนุญาตให้ผู้ใช้เข้าถึงแพลตฟอร์มการซื้อขายและบริการที่เกี่ยวข้อง ("บริการ") ภายใต้ข้อกำหนดและเงื่อนไขที่กำหนดไว้ในข้อตกลงฉบับนี้ (ตามที่อาจมีการแก้ไขแก้ไขหรือเพิ่มเติมเป็นระยะ) กฎและกฎหมายที่ใช้บังคับ (รวมถึงข้อกำหนด) เพื่อให้บริการมีต่อผู้ใช้ โดยตรงหรือผ่านทางผู้ให้บริการบุคคลที่สาม ผู้ใช้ตกลงที่จะใช้ SEF อย่างเคร่งครัดตามข้อกำหนด Swaps และ Swap ต้องเป็นหรือถูกส่งโดยสมัครใจเพื่อให้สำนักหักบัญชีสัญญาหรือสำนักหักบัญชีที่จดทะเบียนกับสำนักงานคณะกรรมการกำกับหลักทรัพย์และตลาดหลักทรัพย์ สำนักหักบัญชีสัญญาหลักทรัพย์) ข้อกำหนดเกี่ยวกับการทำธุรกรรมดังกล่าวจะรวมถึงข้อกำหนดและเงื่อนไขทั้งหมดในกฎขององค์การอนุพันธ์เพื่อการชำระบัญชีหรือสำนักหักบัญชี (b) ผู้ใช้จะต้องใช้และเข้าถึง SEF ในนามของผู้เข้าร่วม (Sponsoring Participant) ซึ่งเป็น บริษัท ที่ได้รับการสนับสนุนทางการเงินที่กำหนดโดย Participance การเข้าร่วมการอุปการะ (Sponsoring Fair Access Firm) หรือ Clearing Firm (Clearing Firm) ผู้ใช้ไม่สามารถใช้หรือเข้าใช้งาน SEF ได้เว้นแต่ผู้ใช้งานได้รับการแต่งตั้งให้เป็นผู้ค้าที่ลงทะเบียนโดย Participance Sponsoring หรือโดย บริษัท ผู้ให้การสนับสนุนการให้การสนับสนุนหรือเป็นตัวแทนที่ได้รับมอบอำนาจจากสำนักหักบัญชีการสปอนเซอร์ บริษัท. โดยไม่ได้รับอนุญาตและการสูญหายการโจรกรรมการใช้งานโดยไม่ได้รับอนุญาตหรือการใช้ Authenticators ที่ผู้ใช้รู้จัก 2. ความพร้อมของ SEF (ก) SEF และจะถูกส่งหรือทำผ่าน User Authenticators (หรือไม่ได้รับอนุญาตจากผู้ใช้) ผู้ใช้ยินยอมที่จะไม่ใช้งาน SEF (i) ในลักษณะที่รบกวนหรือขัดขวาง SEF หรืออาจนำ SEF ไปสู่ความเสื่อมเสีย (ii) ในลักษณะใด ๆ ที่เป็นการฝ่าฝืนกฎหมายที่บังคับใช้ กฎหรือข้อบังคับหรือ (iii) รวบรวมหรือเก็บข้อมูลส่วนบุคคลเกี่ยวกับผู้ใช้รายอื่นผู้สร้างผู้สนับสนุนหรือผู้ดำเนินงานของ SEF ที่ได้รับการสนับสนุนทางการเงินจะไม่เป็นผู้เข้าร่วมหรือ บริษัท ที่ได้รับการสนับสนุนทางการเงินตามที่กำหนดไว้ภายใต้กฎหรือ (y) สิทธิ์ของผู้ใช้ภายใต้ข้อตกลงนี้จะสิ้นสุดลงตามที่กำหนดไว้ในข้อ 4. ( ii) หากผู้ใช้เป็นตัวแทนที่ได้รับมอบอำนาจซึ่งได้รับมอบหมายจาก บริษัท หักบัญชีสิทธิ์ในการเข้าถึงและใช้ SEF จะต้องดำเนินการต่อไปจนกว่าเหตุการณ์เกิดขึ้นดังต่อไปนี้: (x) บริษัท รับชำระเงินหรือ SEF 5. ข้อมูลที่เป็นกรรมสิทธิ์ (ก) SEF จะปฏิบัติต่อข้อมูลที่ได้รับจากผู้ใช้ตามข้อบังคับ (ข) ผู้ใช้ยอมรับว่าได้อ่านและเข้าใจแล้วและจะเก็บรักษาข้อมูลที่เป็นกรรมสิทธิ์ไว้เป็นความลับตามที่กำหนดไว้ในกฎ 6. การรับรองและการรับประกัน ผู้ใช้จะดำเนินการดังต่อไปนี้ให้กับ SEF ซึ่งจะถือว่าซ้ำทุกครั้งที่ผู้ใช้เข้าถึงและใช้ SEF: (ก) ผู้ใช้มีอำนาจและอำนาจในการดำเนินการ (โดยคลิกปุ่มยอมรับด้านล่าง) และทำข้อตกลงนี้ ผู้ใช้ได้ตรวจสอบและทำความเข้าใจกับกฎทั้งหมดที่เกี่ยวข้องกับผู้ใช้และผู้ใช้ในการเข้าถึง และผู้ใช้ SEF (ฉ) ผู้ใช้จะปฏิบัติตามและผูกพันตามข้อกำหนดและ (g) ผู้ใช้ไม่ใช่ผู้ค้าหรือการลงโทษอื่น ๆ ผู้ใช้ยอมรับและยอมรับว่าการเข้าถึง SEF ได้รับการจัดหาตามความพร้อมและพร้อมใช้งานโดยมีข้อบกพร่องทั้งหมดและไม่มีการรับประกันใด ๆ ผู้ใช้ยอมรับว่าการใช้ SEF หรือผู้ให้บริการรายอื่นหรือผู้อนุญาตให้สิทธิ์อาจมีข้อตกลงนี้ 9. ความร่วมมือข้อมูลและการยินยอม ในขณะที่ผู้ใช้ใช้ SEF และเป็นเวลาห้าปีหลังจากการสิ้นสุดการใช้งานดังกล่าวผู้ใช้จะต้องให้ความร่วมมือข้อมูลและความยินยอมตามที่กำหนดไว้ภายใต้ระเบียบนี้แก่ SEF หรือผู้ให้บริการด้านกฎระเบียบ การแจ้งให้ทราบใด ๆ ที่จำเป็นหรือได้รับอนุญาตให้ทำในข้อตกลงนี้จะถือเป็นการส่งมอบและรับ (a) เมื่อส่งมอบให้กับบุคคลที่ได้รับการแจ้งให้ทราบโดยเฉพาะ (ข) ข้อตกลงนี้จะอยู่ภายใต้และตีความและบังคับใช้ตามกฎหมายภายในของรัฐ New York โดยไม่ให้ผลต่อความขัดแย้งของหลักการของกฎหมาย ข้อพิพาทใด ๆ expressly provided in this Agreement, and each and every remedy shall be cumulative and shall be in addition to every other remedy given hereunder or now or hereafter existing in law or in equity or by statute or otherwise. Any delay in or failure of performance by SEF under this Agreement will not be considered a breach and will be excused to the extent such delay in or failure is caused by any event beyond the reasonable control of SEF, including, but not limited to, acts of God, acts of civil or military authorities, strikes or other labor disputes, fires, interruptions in telecommunications or Internet or network provider services, acts or omissions of a third party hardware or software supplier or a third party communications provider, power outages and governmental restrictions. 20. Use of Electronic Mail. All e-mail sent to or from SEF may be received or otherwise recorded by its corporate e-mail systems and is subject to archival, monitoring or review by, and disclosure to, someone other than the recipient. User agrees not to transmit Orders or RFQs to SEF using e-mail or any other electronic communications except as expressly permitted by an authorized representative of SEF. 21. Entire Agreement. This Agreement contains the entire agreement of the parties hereto with respect to the subject matter hereof and supersedes all prior agreements, understandings, representations, warranties, requests for proposal and negotiations between SEF and the User or Users Sponsor, if any, with respect to the subject matter hereof. FOR GFI FOREXMATCHtrade ELECTRONIC BROKERAGE SYSTEM These User Terms and Conditions for GFI ForexMatchtrade Electronic Brokerage System (the quot Agreement quot) describes your rights and responsibilities and states the terms and conditions under which you may use GFI39s electronic brokerage systems, APIs, or plug-ins (together or individually, the quot System quot). Please read this document carefully. By installing, accessing or using the System or any part thereof, you acknowledge, represent and confirm that you are an Approved User (as defined below) and that a legal entity (quot Customer quot) which GFI has authorized to use the System has agreed to be bound to the terms contained within this Agreement. GFI may authorize a Customer to use the System pursuant to an approved user registration form or approval agreement, an electronic quotclick throughquot or online agreement or other applicable written documentation (each, the quot Approved User Registration Documentation quot). The System, as defined herein, includes the GFI FX Blotter and other GFI electronic brokerage systems for other products that may be accessible by accessing the GFI ForexMatchtrade Electronic Brokerage System. The Approved User Registration Documentation sets out the quot Relevant GFI Entity quot which from time to time operates the System and acts in the capacity of inter-dealer broker in connection with they System and each such Relevant GFI Entity shall have an interest in, take the benefit of and be bound by the terms of this Agreement. Such entity shall hereinafter be referred to as quot GFI quot. In the event that userCustomer has not completed an Approved User Registration Documentation, use of the System shall constitute agreement to be bound by this Agreement and, in such case, GFI (in its sole discretion) shall determine the Relevant GFI Entity which from time to time operates the System and acts in the capacity of inter-dealer broker in connection with that System. The System shall provide the facility for Customer to enter into transactions in certain financial products or derivatives, including OTC currency pair options, derivatives or other contracts and instruments, in order for such transactions to be matched with other counterparties (quot Transactions quot). The System is made available for your use by GFI under the terms and subject to the conditions set forth in this Agreement. If you do not accept the terms and conditions stated here, GFI is not willing to allow you to use the System and you should immediately stop using the System. You must be (i) at least 18 years of age, (ii) employed by a Customer that GFI has authorized to use the System pursuant to Approved User Registration Documentation and (iii) authorized by Customer to use the System pursuant to the terms hereto (an quot Approved User quot). If you are not an Approved User, as defined in the preceding sentence, you should immediately stop using the System . It is your responsibility to review this Agreement periodically. GFI reserves the right to modify this Agreement from time to time without notice and in its sole discretion at any time by updating this web page, and your continued use of the System after any modifications by GFI shall constitute your acceptance of such modifications. In addition, GFI may from time to time notify Customer of certain additional rules concerning the actual use of the system (quot Rules of Use quot). Customer agrees that any duty under this Agreement shall apply equally to the Approved Users and that Customer shall ensure that such Approved Users act in accordance with these terms and conditions. Any reference to Customer shall apply equally to the Approved User, including, but not limited to, requirements to act or not act in a particular manner. Access to the System Customer39s access to and use of the System shall further be subject to and governed by the provisions of any Rules of Use. In the event of any inconsistency between the provisions of any Rules of Use and the terms of this Agreement, the terms of the Rules of Use shall prevail. GFI shall have the right to amend the Rules of Use on reasonable prior written notice, which may be in the form of an email or written notice to the Approved Users, or Customer, provided . however . that any amendment may be made effective immediately on notice to the Approved User or Customer where in GFI39s reasonable opinion, it is necessary to permit the System andor GFI to comply with any applicable legal or regulatory requirement, applicable market convention or to facilitate the continued operation or use of the System or any part thereof. The continued use of the System by Customer after receipt of such a notice shall constitute acceptance of such an amendment. Customer acknowledges and agrees that it is responsible, at its own expense, for procuring, installing, operating andor maintaining any Internet bandwidth and access, communications or other information technology items that are required to access the System. Operating instructions and a description of the minimum required configuration to access and use the System are available from GFI at any time upon reasonable request. Grant of License GFI grants to Customer, until such time as this Agreement is terminated pursuant to Clause 14 hereof, a revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the System for the sole purpose of (i) entering into Transactions via the Systemor and (ii) receiving and transmitting Market Data (as defined below) generated by, through or made available through the System from time to time. Customer will not, and will ensure that its employees and Approved Users will not, tamper with, adapt, reverse engineer, decompile, disassemble, modify, assign, sell, transfer, lease, charge, copy, disseminate or otherwise dispose of the System or Market Data in whole or part. GFI shall, during the term of this Agreement, provide the System to Customer on such days and hours as it may establish and notify to Customer from time to time. In using the System and entering into trades, Customer will act as principal and in accordance with applicable law, regulation and market convention. GFI does not guarantee that the System will always be accessible and Customer acknowledges that access to and operation of the System may be prevented by circumstances beyond GFI39s control. GFI has the right at any time to withdraw, suspend or modify the availability of all or part of the System in its absolute discretion with or without notice to Customer. GFI shall have no liability whatsoever for any loss, expense or damage suffered by Customer or Approved Users as a result of any systems or communications failures or any interruptions or delays in the availability of the System. Customer accepts and agrees that it is entirely responsible for all mapping, access, and connections, and any errors or problems arising therefrom, with any third party system or software that has not been installed andor is not owned or provided by GFI. GFI shall have the right with or without notice (but giving as much notice as reasonably practicable) to suspend or limit any Approved User39s access to all or part the System, or to decline to grant access to the System to any employee or representative of Customer, for any reason, including, without limitation, in the event that (i) Customer, or any Approved User(s), is not eligible for such access under the Rules of Use (ii) GFI, in its reasonable opinion, considers such action to be necessary to protect and preserve the security or integrity of the System, GFI39s rights in the System or other Approved Users of the System or (iii) GFI suspects market or System abuse, misuse or non-use. GFI reserves the absolute right, exercisable in its sole discretion and without prior notice, to reject any proposed Transaction that is unacceptable to GFI for any reason, including without limitation, on any grounds set out in the Rules of Use or GFI39s trade error policy, if the proposed Transaction exceeds established limits or due to manifest error or market or System abuse or misuse. SYSTEM TRADING BRINGS SPECIAL RISKS TO VOICE-BROKERED MARKETS OF WHICH COUNTERPARTIES SHOULD NOT UNFAIRLY TAKE ADVANTAGE. ACCORDINGLY, GFI SHALL NOT BE RESPONSIBLE FOR MANIFEST OR OBVIOUS INPUT OR OTHER ERRORS RESULTING IN TRADES AT MANIFESTLY UNUSUAL OR OFF-MARKET PRICES OR PRINCIPAL DEAL AMOUNTS AND ANY RESULTANT TRADES MAY, AT GFI39S SOLE DISCRETION, BE DEEMED CANCELLED WITHOUT LIABILITY TO GFI (AND LIKEWISE WITHOUT LIABILITY IN THE EVENT GFI SHALL FAIL TO CANCEL SAME). ON DISCOVERY BY CUSTOMER OF WHAT IS BELIEVED TO BE AN ERROR, DISCREPANCY OR OMISSION IN RELATION TO ANY INSTRUCTIONS SUBMITTED OR TRADES EXECUTED BY CUSTOMER VIA THE SYSTEM, CUSTOMER SHALL IMMEDIATELY NOTIFY GFI BY CONTACTING A GFI BROKER REPRESENTATIVE. GFI SHALL HAVE THE RIGHT (BUT NOT THE OBLIGATION) TO CANCEL ANY TRANSACTION WITHOUT LIABILITY ON REASONABLE GROUNDS INCLUDING, WITHOUT LIMITATION, ON ANY GROUNDS SET OUT IN THE RULES OF USE OR GFI39S TRADE ERROR POLICY OR DUE TO MANIFEST ERROR OR MARKET OR SYSTEM ABUSE OR MISUSE. GFI39s role in respect of any Transaction will be solely as a name-passingagency broker. GFI shall not, directly or indirectly, be a principal to any Transaction or be responsible for, or otherwise guarantee, performance of any Transaction entered into by Customer or by any counterparty. Use of the System GFI will acknowledge properly executed trades electronically through a notice of execution delivered through the System or through trade confirmations delivered over customary back-office communication modes established between GFI and Customer39s back-office (each, a quot Confirmation quot). Confirmations sent to Customer shall reflect the terms of the Transaction entered into by an Approved User in accordance with this Agreement and Customer shall notify GFI of any error or mistake in the Confirmation promptly upon receipt thereof provided, however, that cancellation of any Transaction shall be subject to Clause 4.5 above. GFI will bear no liability for trade differences or other errors indicated by or arising as a result of Confirmations with respect to which GFI has received no notice of dispute within 24 hours of receipt of such Confirmation. Customer, and not GFI, shall be solely and exclusively responsible for Customer39s Transactions and for any and all damages, expenses, or liabilities incurred or suffered as a result of Customer39s fault or negligence, as well as the fault or negligence of any individuals that Customer authorizes to access and use the System on Customer39s behalf, or any individual gaining access to the System or GFIgroupGFInet Web Site (the quot Site quot) using the passwords or identifications (quot ID quot) of any of the Approved Users. GFI shall not be liable or responsible in the event of any misappropriation, misuse or theft of any IDs. GFI shall have no duty to verify whether any information submitted to the System by any person using Customer39s valid IDs was authorized by Customer and Customer will be bound by any and all such bids, offers and other orders and commands and resultant Transactions. In connection with Customer39s use of the System, the operation of the System (including the matching of bids and offers received by the System and the execution of Transactions with respect thereto) shall be based on, and Customer shall be bound by, all bids, offers, other orders or commands andor other input information received by GFI from (i) Customer (ii) any person accessing the System using Customer39s valid ID or (iii) a GFI employee on Customer39s behalf and request in each case in the form and at the time in which such information is determined received by the System (regardless of whether or not such information has been altered or corrupted prior to reaching the System) and subject always to the System39s internal operational trading rules. Recognising the global nature of the Internet and the System, Customer agrees to ensure that Approved Users will only access the System if they are eligible to enter into trades pursuant to all applicable law, including the laws and regulations of the jurisdiction or jurisdictions where the Approved Users are located or where Customer is registered. Misuse of the System Customer shall (i) comply with all reasonable instructions notified to Customer by GFI from time to time in relation to Customer39s access to and use of the System (ii) notify GFI immediately of any defect in the System or any unauthorized access or change to the System of which Customer becomes aware and (iii) be responsible for any Transaction executed through the System as a result of the misuse of the System. Customer shall not use the System with the intention of avoiding payment of Commissions (for example, by using the System to identify a potential counterparty with a view to trading directly with such counterparty outside the System, or by entering into a low volume of Transactions on the System with the specific intention of subsequently entering into further identical Transactions with the same counterparty outside the System, in each case, without using GFI as the broker). Commissions and Payment Customer acknowledges and agrees that GFI will charge Customer a commission (the quotCommissionquot) for each Transaction that is executed on behalf of Customer through the System. All Commissions, where applicable, in relation to Transactions executed via the System shall be paid (without any right of set-off or deduction) on invoice or demand at the rates and on the basis agreed between Customer and GFI from time to time. All such fees are exclusive of any applicable sales or value added tax. GFI shall send Customer an invoice for the appropriate commissions, and payment of such commissions shall be due within 30 days of the date of invoice. Customer shall be responsible for interest on all amounts overdue by more than thirty (30) days at a rate of the lesser of one percent (1.0) per month or the maximum rate allowable by applicable law. Exercise of FX Options. GFI may make available an FX Option exercise function (the quotExercise Servicequot) through the System in its discretion. In the event that GFI makes the Exercise Service available and GFI executes a Transaction on behalf of Customer which involves a foreign exchange option (an quotFX Optionquot), then Customer may exercise such FX Option (to the extent such FX Option is to be exercised) through the Exercise Service in accordance with the Rules of Use or other written instructions provided by GFI. THE PARTIES AGREE THAT GFI39S LIABILITY IN CONNECTION WITH THE PROVISION OF THE EXERCISE SERVICE SHALL BE EXPRESSLY LIMITED AS SET FORTH IN SECTION 15 BELOW. GFI reserves the right not to provide the Exercise Service, or to modify, suspend, or terminate, or change the nature, composition or availability of, the Exercise Service at any time in its sole discretion and, in such cases, Customer39s shall be solely responsible for the exercise of any outstanding FX Options directly with Customer39s counterparty. Representations and Warranties The Approved User represents and warrants that: (a) if it is an Australian participant, it is a professional investor who is trading: ( i) on its own behalf or (ii) on behalf of another professional investor or (b) if is not a participant in Australia, it is a professional or institutional investor in the jurisdiction in which the participant trades, who is trading: ( i) on its own behalf or (ii) on behalf of another professional investor. FOR FENICStrade USERS BY INSTALLING, ACCESSING OR USING FENICS APIS, PLUG-INS, SOFTWARE, INTERACTIVE TRADING SYSTEM, OR BACK OFFICE SYSTEMS (TOGETHER OR INDIVIDUALLY THE SYSTEM) OR ANY PART THEREOF, YOU ACKNOWLEDGE, REPRESENT AND CONFIRM THAT YOU HAVE THE AUTHORITY TO ENTER INTO AND BIND YOU AND YOUR EMPLOYER TO THIS AGREEMENT (TOGETHER YOU AND YOUR EMPLOYER SHALL BE HEREINAFTER REFERRED TO AS THE USER) AND AGREE TO BE BOUND BY THE FOLLOWING TERMS OF USE (THE AGREEMENT) WITH FENICS SOFTWARE LIMITED. AND ITS AFFILIATES (FENICS). FENICS RESERVES THE RIGHT TO MODIFY THESE TERMS OF USE AT ANY TIME, SO USER SHOULD REVIEW THESE TERMS OF USE WHENEVER ACCESSING OR USING THE SYSTEM. USER MAY ALSO BE REQUIRED, FROM TIME TO TIME, TO ACCEPT AN ELECTRONIC LICENSE AGREEMENT WITH A THIRD PARTY PROVIDING THE SOFTWARE OR ANY ELEMENT OF THE SOFTWARE CONTAINED IN THE SYSTEM. IF USER DOES NOT AGREE TO THESE TERMS, DO NOT INSTALL, ACCESS OR USE THE SYSTEM OR THE SOFTWARE CONTAINED HEREIN (THE SOFTWARE). For the purposes of the above, Affiliates shall mean a company that directly or indirectly through one or more intermediaries, controls, or is controlled by, or is under common control with Fenics. Fenics grants to the User (and individuals withinworking for the User and permissioned by Fenics) on the terms below a non-exclusive, non-transferable, non-sublicensable license to install and use the System only in order to request quotes from and trade with other authorized users of the System. The User will not and will ensure that its staff will not, tamper with, adapt, reverse engineer, decompile, disassemble, modify, assign, sell, transfer, lease, charge, copy, disseminate or otherwise dispose of, the Software or the System or System tradeprice data in whole or in part. Fenics may, from time to time, notify the User of additional rules applicable to the use of the System. When the User uses the System to facilitate the arrangement of Trades (Trades in the scope of this Agreement means the sale or purchase of certain securities or financial instruments), User will only act as principal and in accordance with applicable law, regulation and market convention and Fenics shall not be party to any Trades. The User will be responsible for completing and documenting Trades arranged via the System with any counterparties. For information purposes only, Fenics will provide the User electronically with a notice for any Trades arranged via the System, or where applicable, deliver such notice over customary back-office communication modes established between Fenics and Users back-office. User warrants that it has full power and authority to enter into (i) this Agreement and (ii) Trades with other Users arranged via the System. Fenics does not guarantee that the System will always be accessible and the User acknowledges that access to and operation of the System may be prevented by circumstances beyond Fenics control. System trading involves special risks of which counterparties should not unfairly take advantage. Accordingly, Fenics will not be liable or responsible for manifest or obvious input, or other errors which may result in Trades at manifestly unusual or off-market prices, or sizes. If User discovers what it believes to be an error, discrepancy or omission in relation to any instructions submitted or Trades executed via the System, it shall immediately notify Fenics by contacting their designated Fenics representative. In the event of such notice or in the event of a dispute between the parties to a Trade, Fenics shall, in its sole discretion and where legally permitted, use reasonable efforts to provide to the Users concerned electronic records relating to such Trades that may be retained by the System. User accepts and agrees that it is entirely responsible for all mapping with any third party system that has not been installed by Fenics. Fenics shall have the right to cancel any transaction on reasonable grounds including, without limitation and in Fenics sole reasonable opinion, on grounds of manifest error or market or system abuse or misuse. Fenics reserves the right to charge a fee for the use of the System, which User will be notified of in writing from time to time. User agrees that any fees shall be invoiced and shall be due and payable with in thirty (30) days of receipt of the applicable invoice. User agrees to pay interest at the rate of two percent (2) per month or, if lower, the maximum rate allowed by law, on outstanding and unpaid fees for the purpose of covering Fenics collection costs as well as interest. User, not Fenics, is solely and exclusively responsible for its Trades and for any and all damages, expenses, or liabilities incurred or suffered as a result of Users fault or negligence, as well as the fault or negligence of any individuals that it authorises to access and use the System on its behalf or any individual gaining access to the System using the passwords or identifications (ID) provided to the User by Fenics. Fenics shall not be liable or responsible in the event of any misappropriation, misuse or theft of any IDs. Recognising the global nature of the Internet and the System, User agrees to ensure that its employees will only be granted access to the System if they are eligible to offer, arrange andor enter into Trades pursuant to all applicable law, including the laws and regulations of the jurisdiction or jurisdictions where it is located, where its company is organised, or from where such employees trade. Fenics represents and warrants that Fenics is either the owner, or has obtained and currently holds all rights necessary to grant the licenses and rights granted hereby, for the use of the System as set out in this Agreement. Fenics shall defend and indemnify User against a claim that the System licensed and used within the scope of this Agreement infringes any copyright, patent or other intellectual property right within the European Union or United States of a third party, provided that: (a) User notifies Fenics in writing as soon as practicable and within 30 (Thirty) days of the claim (b) Fenics has sole control of the defence and all related settlement negotiations while taking into account Users reasonable interests and (c) User provides Fenics with reasonable assistance, information, and authority necessary to perform the above (at Fenics expense for reasonable out of pocket expenses). If the System becomes, or in Fenics opinion is likely to become, the subject of any such claim or action, then Fenics may either: (i) procure for User the right to continue using same as contemplated hereunder (ii) modify same to render same non-infringing or (iii) replace same with equally suitable, functionally equivalent, compatible, non-infringing copy of the System or (iv) if none of the foregoing are reasonably commercially available, terminate this Agreement. The provisions of the preceding Clause 8.1 shall be the full extent of Fenics liability for the infringement of the intellectual or industrial property rights of any third party. Fenics shall have no liability for any claim of infringement based on: (a) the combination or use of the System furnished under this Agreement with programs or data not furnished by Fenics, if such infringement would have been avoided by the use of the System without such programs or data or (b) use of the System contrary to the terms of this Agreement. User acknowledges and agrees that it is responsible, at its own expense, for procuring, installing, operating andor maintaining any internet bandwidth and access, communications, other information technology items that are required to access the System. The operating instructions and description of the minimum required configuration to access and use the System are available from Fenics at any time upon reasonable request. Each party agrees to regard and preserve as confidential all information (including all Tradesorders entered onto the System) related, but not limited to, the business and activities of the other party (Confidential Information). Except as provided herein each party agrees to hold Confidential Information in strict confidence and will not disclose such Confidential Information to any person, firm or enterprise, or use (directly or indirectly) any such Confidential Information for its own benefit or the benefit of any other party, unless authorised by the other party in writing. Confidential Information shall not be considered confidential to the extent such information is: (i) already known free of restriction at the time it is obtained (ii) subsequently learned from an independent third party free of restriction and without breach of this Agreement (iii) is or becomes publicly available through no wrongful act of the receiving party or (iv) is independently developed without reference to any Confidential Information of the other party. Furthermore, either party shall be entitled to disclose such Confidential Information as it may be required to disclose by law or under the rules of any applicable regulatory authority. User acknowledges that Fenics compiles and disseminates for sale or otherwise trade and pricing data on a no-names basis in various forms including data arising from use of the System. Copyright and all intellectual property in such data belongs solely to Fenics. Each party acknowledges and agrees that, monetary damages would be difficult to calculate and may not adequately compensate the other party in connection with an actual or threatened breach of any of the foregoing provisions of this Section 10 by such party.
